  1. CE SOFTWARE LICENSE AND LIMITED WARRANTY AGREEMENT
  2. QUICKMAIL PRO
  3.  
  4. CAREFULLY READ THE TERMS AND CONDITIONS OF THIS LICENSE AND
  5. LIMITED WARRANTY AGREEMENT ("AGREEMENT") BEFORE YOU USE THIS
  6. PACKAGE.  BY USING OR RETAINING POSSESSION OF THIS PACKAGE, YOU
  7. AGREE TO BE BOUND BY THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL
  8. THE TERMS OF THIS AGREEMENT, DO NOT USE THE SOFTWARE AND
  9. PROMPTLY RETURN THE ENTIRE PACKAGE CONTENTS TO THE PLACE OF
  10. PURCHASE FOR A FULL REFUND.
  11.  
  12. DEFINITIONS
  13. * Package means the Software, manual(s) and other items
  14. accompanying this Agreement.
  15. * Software means the computer programs owned or distributed by CE
  16. Software, Inc. ("CE") and contained in this Package.  It also
  17. means any copies of the programs made to any media or storage.
  18. * User  means a person authorized to use the Software according to
  19. the terms of this Agreement.
  20. * Authorized Number of Users  means the actual number of Users
  21. permitted to use the Software under the terms of this Agreement.
  22. The Authorized Number of Users is specified on the Package.  In
  23. addition, there is a serial key included in the Package which
  24. permits, once the Software is activated, operation of the Software
  25. for only up to the Authorized Number of Users.
  26. * You and Your means any person or entity authorized to use the
  27. Software in accordance with the terms of this Agreement.
  28.  
  29. LICENSE AND RESTRICTIONS
  30. Limited Rights
  31. * CE grants You a nonexclusive license to copy and use the
  32. Software in this Package on no more than the number of computers,
  33. within Your local area network, if applicable, than is necessary
  34. for Your use of the Authorized Number of Users.
  35. * You may also make backup copies of the Software (but not the
  36. manuals or other materials in the Package) solely for archival
  37. purposes.  All copies of Software authorized under this Agreement
  38. shall reproduce and display fully all CE copyright notices or
  39. other proprietary legends.
  40. * CE retains all right, title and interest in and to the Software
  41. and all modifications, enhancements or other derivatives of the
  42. Software or other materials, in any medium, including but not
  43. limited to all copyrights, patents, trade secrets, trademarks and
  44. other proprietary rights.
  45. * All rights not expressly granted are reserved to CE.
  46.  
  47. Restrictions
  48. * You may not copy or use the Software or other materials in the
  49. Package except as specified in this Agreement.
  50. * You may not modify, reverse-engineer, disassemble, decompile,
  51. translate or reduce the Software to a human perceivable form.
  52. * You may not sub-license, resell for profit, lend, rent, lease or
  53. otherwise distribute the Software or any portion of the Software.
  54. * You may not distribute the Software electronically over a
  55. network or the Internet except within the scope of the license
  56. rights expressly granted.
  57. * You may not create derivative works based on the Software.
  58. * You may not remove, obscure, or alter any notice of the CE
  59. copyright or other proprietary legends on the Software.
  60. * You may not transfer the Software or other materials in the
  61. Package to another person or entity, except that, after written
  62. notification to CE, You may transfer all (but no lesser portion)
  63. of the Package, including this Agreement, to another party who
  64. agrees to abide by the terms and conditions of this Agreement.
  65. * You may not transfer the Software or any other materials in the
  66. Package to any person or entity in violation of the United States
  67. Export Administration Act.
  68. * You are responsible for all taxes other than those based on the
  69. net income of CE.
  70.  
  71. U.S. GOVERNMENT RESTRICTED RIGHTS
  72. The Software and documentation are provided with RESTRICTED
  73. RIGHTS.  Use, duplication, or disclosure by the Government is
  74. subject to restrictions as set forth in subparagraph (c)(1)(ii)
  75. of the Rights in Technical Data and Computer Software clause at
  76. DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the
  77. Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19,
  78. as applicable. Manufacturer is CE Software, Inc., 1801 Industrial
  79. Circle, West Des Moines, IA  50265  U.S.A.
  80.  
  81. TERM AND TERMINATION
  82. The term of this Agreement is perpetual unless otherwise
  83. terminated. Both the Agreement and Your right to use the Software
  84. terminate automatically if You violate any material part of this
  85. Agreement. In the event of termination, You must immediately
  86. destroy all copies of the Software or return them to CE.
  87.  
  88. LIMITED WARRANTY, EXCLUSIVE REMEDIES AND LIMITATION OF LIABILITY
  89. Limited Warranty
  90. * Limited Software Warranty. For a period of ninety (90) days from
  91. the date You purchased this Package, CE warrants, to You only,
  92. that the Software shall conform substantially to the descriptions
  93. set forth in the manual included in the Package, so long as the
  94. Software is not misused nor modified by anyone other than CE. The
  95. parties acknowledge and agree that, due to the complex nature of
  96. computer programs, it is impossible to ensure the Software will be
  97. error-free or that Software operation will be uninterrupted.
  98. * Media Warranty.  CE warrants that the media on which the
  99. Software is copied is free from defects in materials and
  100. workmanship under normal use for the period of ninety (90) days
  101. from the date You purchased this Package.
  102.  
  103. Limitations on Warranties.
  104. The warranties above are exclusive and in lieu of all other
  105. warranties. CE EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES OF
  106. ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
  107. WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
  108. PURPOSE. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL
  109. RIGHTS, AND YOU MAY HAVE OTHER RIGHTS, WHICH VARY FROM STATE
  110. TO STATE.
  111.  
  112. Exclusive Remedies
  113. For any breach of the limited warranty above, Your exclusive
  114. remedy, and CE's entire liability shall be:
  115. * For Software Warranty: CE will, at its sole option: (i) repair
  116. or replace the nonconforming Software within a commercially
  117. reasonable time of notice of such condition; or (ii) credit or
  118. refund to You all or a fair portion of the price You paid for
  119. such Software.
  120. * For Media Warranty: The replacement of defective media returned
  121. within ninety (90) days of the date You purchased this Package.
  122.  
  123. Limitation of Liability
  124. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT,
  125. INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR DAMAGES
  126. FOR LOSS OF PROFITS, REVENUE, DATA OR USE INCURRED BY
  127. EITHER PARTY OR ANY THIRD PARTY, WHETHER IN AN ACTION IN
  128. CONTRACT OR TORT, EVEN IF THE OTHER PARTY OR ANY OTHER
  129. PERSON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  130. CE'S LIABILITY FOR DAMAGES HEREUNDER SHALL IN NO EVENT
  131. EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE. The provisions
  132. in the Limited Warranty, Exclusive Remedies and Limitation
  133. of Liability sections above allocate the risks under this
  134. Agreement between You and CE. CE's pricing reflects this
  135. allocation of risk and the limitation of liability specified
  136. herein.
  137.  
  138. GENERAL
  139. This Agreement constitutes the entire agreement and supersedes
  140. any prior Agreement between CE and You concerning the contents
  141. of this Package.  CE is not bound by any provision of any purchase
  142. order, or other document, unless CE specifically amends this
  143. Agreement.  This Agreement cannot be amended, modified or waived
  144. unless the change is written and signed by an authorized
  145. corporate officer of CE.
